IRS EPCRS and ROBS Plans
EPCRS can address some qualified-plan failures in a ROBS plan, but availability depends on the failure type, timing, examination status, correction method and current guidance. It does not itself cure corporate-law, securities, valuation, payroll, fiduciary, prohibited-transaction, excise-tax or filing consequences outside its scope.[S1][S2][S3][S8]
Direct answer for ROBS sponsors
A ROBS plan is still a qualified retirement plan sponsored by a C corporation. EPCRS is the IRS system for correcting failures that could cause that plan to fail Code qualification rules. The relevant question is not whether the business used a ROBS provider or whether the rollover was large. The relevant question is whether the identified error is a Plan Document Failure, Operational Failure, Demographic Failure or Employer Eligibility Failure, and whether SCP, VCP or Audit CAP is available before or during examination.[S1][S2][S5]
A careful file separates the ROBS stock transaction from the qualified-plan correction. A missed deferral, missed match, eligibility exclusion, plan-term mismatch, participant-loan defect, late amendment or nondiscrimination failure may fit EPCRS. A weak corporate stock valuation, discriminatory employer-stock availability, promoter structure, prohibited transaction, late Form 5500, corporate Form 1120 issue or Form 1099-R reporting issue may require a separate correction path even if a related plan failure also goes through EPCRS.[S2][S8][S10]
Qualified-plan context without ROBS approval language
The IRS ROBS project describes a ROBS as an arrangement in which rollover assets are moved into a plan that purchases stock of a new C corporation. The same page cautions that a favorable determination letter addresses plan terms, not whether the sponsor applied those terms correctly or operated the plan without discrimination or prohibited transactions.[S8]
For EPCRS, that means a compliance statement under VCP is an IRS agreement for the disclosed failures and approved correction method. It is not a full audit clearance, a valuation blessing, a securities-law opinion or a statement that every ROBS transaction step was proper.[S2][S5]
EPCRS failure categories for a ROBS plan
Rev. Proc. 2021-30 organizes qualified-plan failures into categories.[S2] Classifying the problem first prevents a ROBS sponsor from forcing every issue into self-correction.
Choosing SCP, VCP or Audit CAP
SCP is a no-contact, no-fee path for eligible failures when the plan sponsor has established practices and procedures and applies EPCRS correction principles. The IRS overview currently says SCP covers operational problems, certain plan-document problems and certain participant-loan problems, but the detailed limits come from Rev. Proc. 2021-30 as modified by Notice 2023-43.[S1][S2][S3]
VCP is available before the plan or plan sponsor is under examination. The sponsor files through Pay.gov with Form 8950, identifies the failures, proposes correction and procedure changes, pays the user fee and can receive a compliance statement. The IRS page says the compliance statement requires completion of approved correction within 150 days in the described approval process, and the IRS usually does not audit the plan while the submission is pending except in unusual circumstances.[S5][S6][S7]
Audit CAP applies when the plan is under audit and the failure has not already been corrected under SCP or VCP. The sponsor corrects and pays a negotiated sanction tied to the nature, extent and severity of the failure, with the VCP fee as a floor under the IRS overview.[S1][S2]
SECURE 2.0 and Notice 2023-43 boundaries
SECURE 2.0 section 305 expanded EPCRS by allowing self-correction of eligible inadvertent failures unless IRS identifies the failure before actions show a specific commitment to correction or the correction is not completed within a reasonable period. Notice 2023-43 provides interim guidance until Rev. Proc. 2021-30 is updated.[S3][S4]
An eligible inadvertent failure requires established practices and procedures. It does not include an egregious failure, diversion or misuse of plan assets, or a failure directly or indirectly related to an abusive tax avoidance transaction. The interim notice also excludes several categories from self-correction before the revenue procedure update, including failure to initially adopt a written plan, certain orphan-plan failures, significant failures in terminated plans, listed SEP and SIMPLE IRA issues, certain demographic corrections, and an operational correction by amendment that is less favorable to participants than the original terms.[S2][S3]
Reasonable period is facts-and-circumstances based. Notice 2023-43 treats most corrections completed by the last day of the 18th month after identification as completed within a reasonable period. An employer-eligibility failure receives different treatment: contributions must cease as soon as reasonably practicable and no later than the last day of the 6th month after identification. Self-correction does not automatically waive an excise tax or additional tax, and recordkeeping must identify the failure, years, affected employees, identification date, cause, procedures, correction method, completion date and procedure changes.[S3]
ROBS examples that may start with EPCRS analysis
ROBS-relevant EPCRS questions include missed employee deferrals, missed matching contributions, improper eligibility exclusions, failure to follow plan terms, participant loans with missed installments or excessive loan amounts, missed plan-document amendments, nondiscrimination or benefits-rights-and-features failures from restricting company stock, and employer-eligibility issues. Section 401(a) qualification and nondiscrimination rules frame why those plan failures matter. Each requires affected participant treatment, restoration of benefits when applicable, earnings calculations, consistent handling across similarly situated participants, and proof that the error will not recur.[S1][S2][S3][S8][S9]
The data work often drives the answer. Reconstruct payroll, eligibility dates, election records, employer contributions, trust deposits, loan amortization schedules, participant statements, share records and earnings assumptions before choosing the correction method. If records are incomplete, document reconstruction assumptions and who approved them.[S2][S5][S7]
Issues EPCRS does not itself cure
EPCRS is not a universal ROBS amnesty. Stock valuation support, corporate-law defects, securities-law concerns, payroll-tax amendments, fiduciary breaches, prohibited transactions, excise taxes, Forms 5500 delinquency, Form 1120 reporting and Form 1099-R reporting can remain even after a plan correction. The IRS VCP page specifically points late Form 5500 failures to DOL delinquent-filer relief and fiduciary violations to DOL correction programs rather than treating them as ordinary VCP fixes.[S5][S8][S10]
Stop and escalate before changing money or documents if the fact pattern includes diversion or misuse of plan assets, self-dealing, a backdated document, knowingly false valuation, active IRS or DOL contact, criminal-investigation facts, affected non-owner employees, insolvency, corporate dissolution, or a proposed correction that would reduce participant rights.[S2][S3][S7][S10]

Document checklist for advisers and VCP
A defensible EPCRS file should include the governing plan document and amendments, adoption agreement, determination or opinion letter materials, payroll registers, census and eligibility data, deferral elections, match formulas, trust statements, participant statements, loan documents, amortization history, contribution dates, stock ledger, valuation file, Form 5500 series returns, Form 1120, Form 1099-R records, board approvals, provider correspondence and a correction memo. For VCP, add Form 8950, the Pay.gov receipt, failure descriptions, proposed correction, sample computations, administrative procedure changes, Form 14568 or applicable schedules when used, representative authorization if applicable, and the final compliance statement.[S2][S5][S7][S8]
Rev. Proc. 2021-30 eliminated anonymous VCP submissions effective January 1, 2022, but added an anonymous, no-fee pre-submission conference procedure for specified matters. The conference is discretionary, advisory, nonbinding and not reliance. It is a discussion tool before a named submission, not a way to file anonymously.[S2][S7]
Five reproducible scenarios
These bounded scenarios illustrate arithmetic only. They do not choose a correction program, establish eligibility or replace plan-specific advice.
Timeline, no-contact safeguards and post-correction controls
Day 0 is discovery. Preserve the file, stop the recurring error, identify examination or agency-contact status, and avoid calling the IRS before qualified advice if contact might change VCP or SCP options. Days 1 to 30 are for classification, data reconstruction, participant impact, earnings assumptions, separate-regime triage and adviser assignment. Before money moves, confirm the correction method, sign-off authority and whether a VCP submission or pre-submission conference is prudent.[S2][S3][S5][S7]
After correction, reconcile trust statements, payroll, participant accounts, share records, tax filings and plan reports. Retest eligibility, coverage, nondiscrimination, top-heavy status, loan administration and employer-stock availability. Add controls: payroll calendar, census review, amendment log, loan monitoring, valuation owner, filing calendar, provider responsibility matrix and annual evidence packet.[S1][S2][S3]
Alternatives and parallel paths
If EPCRS is not the right tool, the alternatives may include DOL fiduciary correction, delinquent Form 5500 relief, amended payroll returns, amended corporate returns, Form 5330 excise-tax analysis, corrected Form 1099-R reporting, corporate ratification, stock recapitalization, plan amendment through VCP or Audit CAP, plan termination, business sale coordination, or a negotiated IRS closing agreement for issues outside ordinary EPCRS.
