Voluntary Fiduciary Correction Program and ROBS

VFCP may help when a ROBS plan has a fiduciary breach that fits a covered DOL correction category. It is not a blanket ROBS cure, IRS closing agreement, valuation approval or excise-tax waiver.

Direct answer

A ROBS sponsor should consider the Department of Labor Voluntary Fiduciary Correction Program when the suspected problem is a fiduciary violation under ERISA and the transaction fits one of the VFCP covered categories. The useful question is not whether the page says ROBS. It is whether the facts fit a category such as delinquent participant contributions or loan repayments, a loan to a party in interest, a purchase or sale of assets, a sale and leaseback, improper valuation, excessive compensation, improper plan expenses, or dual fiduciary compensation.[S1][S2][S3]

VFCP does not resolve every ROBS problem. It can lead to DOL no-action treatment for an eligible, fully corrected application, but it does not admit or prove that the original arrangement was lawful, determine adequate consideration, waive IRS plan-disqualification exposure, eliminate Form 5330 unless PTE 2002-51 conditions are satisfied, or substitute for EPCRS where the issue is a qualified-plan failure.[S2][S4][S9][S10][S11][S13]

Who and what VFCP covers

Covered applicants include plan sponsors, plan officials, fiduciaries and other persons who may be liable for fiduciary violations under ERISA. Covered plans are employee benefit plans within EBSA jurisdiction; the owner-only boundary still matters because an arrangement with no common-law employees may raise different Title I questions. A ROBS company that has hired employees, accepted deferrals, allocated accounts or filed Form 5500 should treat the plan as a real employee benefit plan, not as the founder's private funding account.[S2][S5][S8][S11]

The 2025 fact sheet lists 19 VFCP transaction categories. For ROBS, the most relevant screens are delinquent participant contributions and loan repayments, loans involving parties in interest, purchases or sales of plan assets, sale and leaseback of property to a sponsoring employer or affiliate, purchases above fair market value, sales below fair market value, holding illiquid assets, benefit payments based on improper valuation, duplicate or excessive compensation, improper plan expenses and dual fiduciary compensation.[S2][S6][S7]

Boundaries before filing

Do not file first and classify later. VFCP is unavailable if the plan or applicant is under investigation as defined by the Program. Criminal conduct, deliberate self-dealing, an existing EBSA investigation, a subpoena, an IRS examination, a PBGC matter, a private lawsuit, or an exemption request can change the lane. The 2025 update allows some delinquent-contribution applications despite evidence of a criminal violation only if the applicant certifies nonparticipation in the criminal activity, law enforcement has been notified and the other conditions are satisfied.[S2][S3][S8]

Possible violation and deliberate violation are different records. A possible late deposit, valuation error or plan-expense mistake can be investigated through a correction memo. A deliberate diversion of plan assets, owner use of plan property, falsified valuation or backdated document requires counsel before communication with EBSA because admissions, privilege, criminal referral and fiduciary-removal issues may be present.[S5][S6][S8][S12]

ROBS fact patterns that may or may not fit

A formation stock purchase raises VFCP questions only if a covered correction category fits the facts. The IRS ROBS materials identify valuation of newly issued employer stock as a primary issue, and ERISA separately requires fiduciaries to act prudently and for the exclusive benefit of participants. A plan that paid more than supported fair market value for employer stock may need valuation support, restoration and participant-account reconstruction; VFCP eligibility still depends on the category and correction method.[S5][S6][S7][S11][S12]

Loans, leases, owner compensation and use of assets each need their own lane. A plan-to-company loan, company-to-owner loan, lease with owner-owned property, personal expenses paid from corporate proceeds, excessive owner salary tied to plan assets, or personal use of plan-owned assets may implicate ERISA 404 and 406, IRC 4975, reporting and corporate records. VFCP may fit some loan, sale, leaseback, expense or compensation categories; it does not turn a noncovered owner benefit into a covered correction.[S2][S5][S6][S9]

Participant accounts matter in a ROBS correction. If employees were eligible, had deferrals withheld, received allocations, missed notices, or were excluded from the employer-stock feature, the file should include census records, plan terms, payroll, account statements, stock ledger, valuation support and TPA calculations. Provider support can gather records and run administration, but the provider's work does not replace fiduciary judgment, independent appraisal or legal classification.[S2][S11][S12][S13]

Correction means full restoration and records

The VFCP standard is restoration of the plan, participants and beneficiaries to the condition they would have been in had the breach not occurred. Applicants generally must restore principal plus the greater of lost earnings or profits from use of the principal, pay correction expenses themselves, use generally recognized market standards or qualified appraisal reports when valuation matters, and make supplemental distributions where appropriate.[S1][S2]

A ROBS correction file should assign roles before money moves. ERISA counsel classifies the fiduciary issue and under-investigation boundary. Tax counsel or a CPA screens IRC section 4975 and Form 5330. The TPA or recordkeeper rebuilds participant accounts and amended reporting. A qualified independent appraiser supports employer stock or property value. An independent fiduciary may be needed when the founder, company and plan fiduciary roles conflict.[S2][S5][S9][S10][S12]

Online filing, notices, records and DOL result

The 2025 process points applicants to EBSA's VFCP materials, model application and online calculator. A complete application includes relevant plan documents, transaction records, correction evidence, lost earnings or profit documentation, proof of payment, transaction-specific documents, a signed checklist and a penalty-of-perjury statement. Applicants file with EBSA and should keep copies with board, fiduciary, plan and participant-account records.[S1][S2]

Ordinary VFCP applications seek a DOL no-action letter. That letter is bounded by program terms; it is not an admission by DOL that all facts are lawful, not a determination letter, not an appraisal opinion, not a criminal release and not IRS relief. SCC users receive an email acknowledgement rather than a no-action letter.[S2][S3][S4]

The 2025 SCC is narrow

The 2025 self-correction component applies to two transaction types: delinquent participant contributions and loan repayments to pension plans, and eligible inadvertent participant loan failures that can be self-corrected under EPCRS. For delinquent remittances, lost earnings must total $1,000 or less, the delinquent payments must be remitted within 180 calendar days from withholding or receipt, the official online calculator must be used, penalties and late fees must be paid by the employer or official, and neither the plan nor self-corrector can be under investigation.[S1][S2][S3][S13]

SCC is useful for a ROBS company that starts payroll and remits employee deferrals or loan repayments late, if every gate is met. It is not a stock-purchase, owner-compensation, valuation, lease, personal-expense or provider-fee correction shortcut. SCC filers submit the web notice, receive an email acknowledgement, retain the penalty-of-perjury statement and, for delinquent remittances, complete and provide the SCC Retention Record Checklist to the plan administrator.[S1][S2][S4]

PTE 2002-51 and IRS issues stay separate

PTE 2002-51 can provide conditional relief from certain IRC section 4975 excise taxes for six VFCP transaction categories, including late remittances, fair-market loans to disqualified persons, fair-market purchases or sales between a plan and disqualified person, certain real-property sale and leaseback transactions, illiquid-asset purchases or sales, and plan payment of settlor expenses to service providers when not prohibited by plan documents. The applicant must satisfy the VFCP and exemption conditions and receive the required no-action letter or SCC email acknowledgement.[S2][S4][S9]

No automatic IRS relief follows from VFCP. A ROBS plan may also need EPCRS for qualification failures, Form 5330 for section 4975 excise tax, amended Form 5500 reporting, corporate tax return corrections, or a separate IRS examination response. Do not double count the same plan loss across lanes, but do not collapse distinct duties into one payment either.[S9][S10][S11][S12][S13]

These five examples are reproducible arithmetic screens only. They are not legal advice, DOL applications, appraisal opinions, tax returns, EPCRS submissions or predictions of agency action.

Late contributions lost earnings using VFCP method

Assumptions: $8,000 of participant deferrals withheld April 5, 2026 were remitted May 20, 2026, 45 days late, and the official VFCP calculator rate is screened here at 5% only to show the formula. Formula: $8,000 × 0.05 × 45 ÷ 365 = $49.32. Result: restore $8,049.32 before any fees. Limit: the live official VFCP calculator controls the actual interest factor and should be printed to the file.[S1][S2]

Transaction restoration and profit disgorgement

Assumptions: a plan bought equipment from the ROBS corporation for $60,000 when independent support shows $52,000 fair market value, and the corporation earned $1,200 by using the excess cash before correction. Loss screen: $60,000 - $52,000 = $8,000. Profit comparison: $1,200. Result: restore $8,000 plus the greater of lost earnings or $1,200 profit, with no double count of the same $8,000 principal. Limit: appraisal, profit tracing and party status drive the real correction.[S2]

SCC threshold and deadline screen

Assumptions: pension deferrals of $20,000 were withheld January 10, 2026, remitted June 20, 2026, and calculator lost earnings are $920. Deadline screen: June 20 is 161 calendar days after January 10, within the 180 calendar days limit. Threshold screen: $920 is $80 below the $1,000-or-less lost-earnings ceiling. Result: the delinquent-contribution SCC screen passes those two numeric gates. Limit: the self-corrector and plan also must not be under investigation and must submit the SCC Notice and retention records.[S2][S3]

Valuation and unwind amount

Assumptions: a ROBS plan paid $240,000 for newly issued employer stock; later independent transaction-date analysis supports $210,000. Overpayment screen: $240,000 - $210,000 = $30,000. If 12,000 shares were issued, supported value is $210,000 ÷ 12,000 = $17.50 per share. Result: the correction file screens at $30,000 plus earnings or profits, or a documented unwind/redemption producing the same plan restoration. Limit: this does not prove VFCP eligibility or adequate consideration.[S11][S12]

PTE, excise-tax and Form 5330 lane comparison

Assumptions: a $10,000 delinquent remittance correction fits VFCP and PTE 2002-51 conditions; a separate $10,000 owner self-dealing payment does not fit a PTE 2002-51 class category. Lane A result: conditional PTE relief may eliminate the section 4975 excise-tax payment if every exemption condition is met. Lane B screen: $10,000 × 15% = $1,500 initial excise tax for one taxable year, reported on Form 5330 if counsel concludes section 4975 applies. Limit: VFCP does not provide universal tax relief or automatic IRS qualification relief.[S4][S6][S9][S10]

FAQ

Use these answers to separate VFCP from ROBS approval, SCC from ordinary applications, and DOL relief from IRS tax or qualification issues.

Does VFCP approve a ROBS arrangement?

No. VFCP can provide bounded DOL no-action treatment for an eligible, fully corrected fiduciary violation. It does not approve the original ROBS structure, determine stock value, waive IRS qualification defects or decide every section 4975 tax issue.[S1][S2][S4][S9][S13]

Can SCC fix a ROBS stock valuation problem?

No. The 2025 SCC is narrow. It covers delinquent pension participant contributions and loan repayments meeting the SCC limits, plus eligible inadvertent participant loan failures corrected through EPCRS. A ROBS employer-stock valuation or owner self-dealing issue needs the ordinary VFCP category analysis, if any category fits.[S1][S2][S4][S9][S13]

Who should coordinate a VFCP file for a ROBS plan?
