Transaction lanes and special situations

Asset sale

The buyer pays the C corporation. The plan may still own employer stock after closing, so redemption, valuation, corporate tax, participant allocation and plan termination remain separate.[S1][S3][S6][S8]

1. Rapid close workload screen

Assumptions: buyer wants closing in 30 days; plan counsel needs 5 business days, valuation firm 10 business days, CPA tax model 7 business days, provider record update 3 business days, and custodian transfer 5 business days, with no overlap assumed for a conservative workload screen.

Formula: 5 + 10 + 7 + 3 + 5 = 30 business days of sequenced work.

Result: A 30-calendar-day closing can be tight if every handoff waits for the prior handoff. The point is workload sequencing, not a provider turnaround promise.

Limits: Actual providers may work in parallel, require more time, or publish different timelines only in private contracts.

2. Plan-held stock redemption cash

Assumptions: transaction valuation supports $420,000 of equity value after debts and reserves; the plan owns 60% of the shares; estimated redemption expenses are $8,000.

Formula: 60% × $420,000 = $252,000 plan gross value. $252,000 - $8,000 = $244,000 before participant allocation or distribution steps.

Result: The plan amount is a plan asset until valid redemption, allocation, distribution, rollover or other plan action occurs.

Limits: This does not compute tax, adequate consideration, solvency, participant shares, holdbacks or legal approval.

3. Final Form 5500 timing boundary

Assumptions: plan termination date is March 31, 2027, all assets are distributed September 30, 2027, and the plan uses a calendar plan year.

Formula: Final filing year = 2027 because final distribution occurs in 2027, not automatically on the March termination date.

Result: Provider scope should state who prepares the final Form 5500-series filing after assets leave the plan.

Limits: Actual filing deadlines, extensions and form type depend on plan facts and current instructions.

4. Participant loan cleanup before termination

Assumptions: one participant loan has $18,000 outstanding; payroll can withhold $1,500 per month; no payoff occurs outside payroll.

Formula: $18,000 ÷ $1,500 = 12 months to repay under this simplified schedule.

Result: A loan can become a timing issue for termination, distributions and reporting if it is not resolved before the exit sequence.

Limits: Loan terms, deemed distributions, offsets, interest and Form 1099-R codes require plan-administrator and tax review.

5. Record-retention package size

Assumptions: the exit file has 1 purchase agreement, 1 valuation report, 1 redemption package, 4 participant notices, 2 tax forms, 3 payroll reports and 6 corporate resolutions.

Formula: 1 + 1 + 1 + 4 + 2 + 3 + 6 = 18 record categories to preserve.

Result: A written provider scope should say who exports, labels and retains plan, corporate, payroll, valuation and tax records after cancellation or termination.

Limits: This counts categories, not pages, legal sufficiency or retention periods.

Is provider exit support the same as legal, tax, valuation, fiduciary, broker or lender work?

Does a business sale automatically end the ROBS plan?
